Terms and Conditions - wholesale customer

Orders are valid once they have been confirmed by EBB & FLOW. The sale will be acknowledged as final and the order can then be processed if the goods are in stock, or will be placed in our system for later delivery.
EBB & FLOW reserves the right to refuse orders from customers that they deem not to be of a wholesale nature or flawed in any way.

All prices are excl. VAT. EBB & FLOW reserves the right to change prices without notice.
Unless otherwise stated, the products are invoiced at the list price current on the date of delivery. The prices and information in the promotional documents that may be issued by EBB & FLOW are given for guidance purposes only. We reserve the right to delete or modify the articles shown in our sales material at any time.

All invoices must be paid in full within the time frame indicated at the invoice or purchase order. First order is pre-payment and afterwards an 8 days net cash credit. EBB & FLOW ApS reserves the right to decline or delay further purchase orders in the case of outstanding payments. Alternatively, payment is pre-paid, which also can be used, if there is outstading amounts.

In case of delayed or missing payments in accordance with the issued invoice, a maximum of three reminders will be sent in the course of 30, 45 and 60 days after the invoice deadline. EBB & FLOW ApS maintains the right to impose a €15,00 EURO late payment fee for each reminder. Late payment fees are non-negotiable. Second reminder will have a temporary closure of account until payment is received. 

If the issued invoice remain unpaid after three reminders, EBB & FLOW ApS will transfer the outstanding invoice to a 3rd party debt collectiing agency. Any fees and costs for the transfer and debt collectiing through 3rd party will be attributed the outstanding amount. The costs are usually 15-20% of invoice amount including late payment fees. 

Transport cost is added to every order, and is paid for by the customer.

As many of our products are hand-made, EBB & FLOW cannot guarantee that every item will be exactly the same.
However closely the photographic reproduction represents the physical product, light variations in the actual goods may occur.

We take every effort possible to ensure that our glass products are packaged securely, and orders should be checked upon arrival.
Should any item arrive broken or faulty, the customer must report this via email to EBB & FLOW within 8 days. The claim will otherwise be inadmissable.
Products can only be returned to EBB & FLOW after written consent. info@ebbandflow.dk.
